You agree that by registering for 909Select marketplace (the "Marketplace") on 909Cyber.com, or by using our websites or mobile applications, or providing other information to 909Cyber as part of the 909Cyber the Marketplace, you are entering into a legally binding agreement with 909Cyber, Inc. ("we," "us," "our," and "909Cyber") based on the terms of these Terms of Use, and become a 909Cyber Marketplace user ("you", "your", and "User").
On the condition that you comply with all your obligations under these Terms of Use, we grant you a limited, revocable, nonexclusive, non-assignable, non-sublicenseable license and right to access the Marketplace, through a generally available web browser, mobile device or application (but not through scraping, spidering, crawling or other technology or software used to access data without the express written consent of 909Cyber or its Users), view information and use the Marketplace that we provide on 909Cyber webpages and in accordance with these Terms of Use. Any other use of the Marketplace is strictly prohibited and a violation of these Terms of Use. We reserve all rights not expressly granted in these Terms of Use, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in 909Cyber and all related items, including any and all copies made of the 909Cyber website.
909Cyber's Freelancer and Employer Connect Marketplace is designed to connect potential employers with freelance workers to facilitate short-term engagements.
909Cyber collects information about Users of 909Cyber's Marketplace to provide services of the Marketplace to you. The Marketplace is an online service designed to allow Freelancer Users to connect with potential Employer Users. The information you choose to provide about yourself on our service is used to facilitate the Marketplace and ultimately make the connections you seek through using the Marketplace.
If you have any hesitation about providing such information to us and/or having such information used to provide the Marketplace, you may refrain from using 909Cyber's Marketplace.
If an authorized third party, such as a person acting under power of attorney on your behalf, registers for 909Cyber's Marketplace on your behalf, both you and that third party will be deemed to have accepted all of the terms contained herein.
Like most websites, 909Cyber uses cookies and web log files to track site usage. A cookie is a tiny data file which resides on your computer which allows 909Cyber to recognize you as a User when you return to the 909Cyber website using the same computer and web browser. Cookie and log file data is used to customize your experience on our website. We use cookies to improve the quality of our service by storing User preferences and tracking User trends. Most browsers are initially set up to accept cookies, but you can reset your browser to refuse all cookies or to indicate when a cookie is being sent.
You have the right to eliminate the data about you which has been collected pursuant to your decision to become a User. You may exercise that right by contacting us at info@909Cyber.com. Pursuing this option will affect your ability to use the Marketplace.
909Cyber may communicate with you through email and notices posted on the 909Cyber website or mobile application, or through other means available through the Service, including text and other forms of messaging. If we send any communications to you via the carrier service with which you have a mobile communications subscription or otherwise have access, you understand you will pay any service fees associated with any such access (including text messaging charges for messages to your mobile device).
909Cyber takes the privacy of Users very seriously. We do not sell, rent, or otherwise share or provide your private information to any third parties.
It is possible that we may need to disclose personal information when required by law, such as responses to civil or criminal subpoenas, or other requests by law enforcement personnel. We will disclose such information when we have a good-faith belief that it is necessary to comply with a court order, ongoing judicial proceeding, subpoena, or other legal process or request to 909Cyber brought in any country throughout the world, or to exercise our legal rights or defend against legal claims.
Freelancers and Employers who participate in the Marketplace agree that all engagements between the parties must be via the Marketplace and you agree that you will not circumvent the Marketplace to make side deals. 909Cyber shall be entitled to the same fees for any such circumvented engagements as it would for the same engagement made through the Marketplace, plus a twenty percent (20%) surcharge as liquidated damages for breach of these Terms of Use. You understand that 909Cyber shall have the right to suspend or terminate your access to the Marketplace in the event 909Cyber becomes aware of any circumvention of the Marketplace.
As a User, you have certain obligations, some of which are imposed by applicable law and regulations, and others required by 909Cyber policy, such as:

For as long as 909Cyber continues to offer the Marketplace, 909Cyber shall provide and may seek to update, improve and expand the Marketplace. As a result, we allow you to access 909Cyber as it may exist and be available on any given day and have no other obligations, except as expressly stated in these Terms of Use. We may modify, replace, refuse access to, suspend or discontinue 909Cyber, partially or entirely, or change and modify prices for all or part of the Marketplace for you or for all our users in our sole discretion. All of these changes shall be effective upon their posting on our site or by direct communication to you unless otherwise noted. For avoidance of doubt, 909Cyber has no obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Marketplace.
909Cyber is not offering any jobs through the Marketplace. Rather it is enabling connections between Freelancers and potential Employers. 909Cyber specifically disclaims that there will be any suitable Freelancers or Employers for you at any given time.
Do not rely on 909Cyber, any information therein, or its continuation. We provide the Marketplace and all information on an "as is" and "as available" basis. Other than for the 909Cyber Verified Marketplace, 909Cyber does not control or vet User generated content for accuracy. We do not provide any express warranties or representations.
To the fullest extent permissible under applicable law, we disclaim any and all implied warranties and representations, including, without limitation, any warranties of merchantability, fitness for a particular purpose, title, accuracy of data, and noninfringement. If you are dissatisfied or harmed by 909Cyber or anything related to 909Cyber, you may cease using 909Cyber Marketplace which shall be your sole and exclusive remedy.
909Cyber does not guarantee that the Marketplace will function without interruption or errors in functioning. In particular, the operation of the Marketplace may be interrupted due to maintenance, updates, or system or network failures. 909Cyber disclaims all liability for damages caused by any such interruption or errors in functioning. Furthermore, 909Cyber disclaims all liability for any malfunctioning, impossibility of access, or poor use conditions of the 909Cyber Marketplace due to inappropriate equipment, disturbances related to internet service providers, to the saturation of the internet network, and for any other reason.
Neither 909Cyber nor any employees, shareholders, representatives or directors ("909Cyber Affiliates") shall be cumulatively liable for (a) any damages in excess of U.S. $10, or (b) any special, incidental, indirect, punitive or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of the Marketplace. This limitation of liability is part of the basis of the bargain between the parties and without it the terms and prices charged would be different. This limitation of liability shall:
A. Apply regardless of whether (1) you base your claim on contract, tort, statute or any other legal theory, (2) we knew or should have known about the possibility of such damages, or (3) the limited remedies provided in this section fail of their essential purpose; and
B. Not apply to any damage that 909Cyber may cause you intentionally or knowingly in violation of these Terms of Use or applicable law, or as otherwise mandated by applicable law that cannot be disclaimed from in these Terms of Use
You may terminate your use of the Marketplace, for any or no reason, at any time, by ceasing to use the 909Cyber Marketplace. 909Cyber may terminate your use of the Marketplace and/or the Marketplace itself at any time for any or no reason
Any information concerning transactions conducted through the Marketplace, each party's financials, pricing, contractual arrangements, and any information marked confidential or proprietary, or other information that should reasonably be regarded as confidential due to the nature of the information, will be deemed "Confidential Information." Each party agrees not to use the other party's Confidential Information or disclose it to any third party, except in its performance under these Terms of Use or pursuant to the requirements of applicable law, legal process, or government regulation, provided that it gives the disclosing party reasonable prior written notice to permit the disclosing party to contest such disclosure, and such disclosure is otherwise limited to the required disclosure. Each party accepts responsibility for the actions of its agents or employees and agrees to protect the other party's Confidential Information in the same manner as it protects its own confidential information, provided however that in no event shall less than reasonable care be used. The receiving party shall promptly notify the disclosing party upon becoming aware of a breach or threatened breach hereunder, and shall cooperate with any reasonable request of the disclosing party in enforcing its rights. Information will not be deemed Confidential Information if such information: (i) is known prior to receipt from the disclosing party, without any obligation of confidentiality; (ii) becomes known to the receiving party directly or indirectly from a source other than one having an obligation of confidentiality to the disclosing party; (iii) becomes publicly known or otherwise publicly available, except through a breach of these Terms of Use; or (iv) is independently developed by the receiving party.
These Terms of Use or any claim, cause of action or dispute ("claim") arising out of or related to these Terms of Use shall be governed by the laws of the state of California regardless of your country of origin or where you access 909Cyber, and notwithstanding of any conflicts of law principles and the United Nations Convention for the International Sale of Goods. You and 909Cyber agree that all claims arising out of or related to these Terms of Use must be resolved exclusively by a state or federal court located in San Francisco County, California, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You and 909Cyber agree to submit to the personal jurisdiction of the courts located within San Francisco County, California for the purpose of litigating all such claims. Notwithstanding the above, you agree that 909Cyber shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and any judgment on the award rendered by the arbitrator shall be final and may be entered in any court of competent jurisdiction.
If any provision of these Terms of Use is found by a court of competent jurisdiction or arbitrator to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision; and if a court or arbitrator finds the modified provision invalid, illegal, void or unenforceable, the validity, legality and enforceability of the remaining provisions of these Terms of Use will not be affected in any way.

You agree that these Terms of Use constitute the entire, complete and exclusive agreement between you and us regarding the Marketplace and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms of Use.
These Terms of Use will be posted on the www.909Cyber.com website. We reserve the right to modify these Terms of Use at any time, so please review it frequently. We generally post updates to this policy once per year or as applicable. If you do not want to agree to changes to these Terms of Use, you can terminate these Terms of Use as they apply to you at any time by discontinuing use of the Marketplace.
Our failure to act with respect to a breach of these Terms of Use by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches. Except as expressly and specifically contemplated by these Terms of Use, no representations, statements, consents, waivers or other acts or omissions by any 909Cyber Affiliate shall be deemed legally binding on any 909Cyber Affiliate, unless documented in a physical writing hand signed by a duly appointed officer of 909Cyber.
In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Marketplace or any content or other material used or displayed through the Marketplace.
You may not assign or delegate any rights or obligations under these Terms of Use. Any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under these Terms of Use, fully or partially without notice to you. We may also substitute, by way of unilateral novation, effective upon notice to you, 909Cyber for any third party that assumes our rights and obligations under these Terms of Use.
You may have rights or obligations under local law other than those enumerated here if you are located outside the United States.
909Cyber may amend these Terms of Use at any time. Your continued use of the Marketplace shall be your acceptance of any amendments, and if such amendments are not acceptable to you, your sole and exclusive remedy shall be to cease using the Marketplace.
